These Terms of Service (the “Terms”) form a binding agreement between you and Spectrality Works LLC (“Spectrality,” “we,” or “us”) and govern your use of the Spectrality website and reading service (the “Service”).
Spectrality is an alpha-stage document reading and processing platform. You upload documents; we process them and render them as reflowable text you can read on your devices. Because the service is in alpha, features may change, break, or be removed without notice.
You must be at least 13 years old to create an account. You are responsible for keeping your password secure and for any activity on your account. Tell us promptly at support@spectrality.works if you suspect unauthorized access.
You retain full ownership of every document you upload and every annotation, highlight, or note you add. We claim no ownership of your content.
Subject to these Terms, we grant you a limited, non-transferable, non-exclusive, revocable license to access and use the service for your own personal or internal use. This license ends when these Terms end or when we suspend or terminate your access.
To run the service, you grant us a limited, non-exclusive, royalty-free license to host, copy, render, index, and display your uploaded content — solely for the purpose of providing the service to you. This license ends when you delete the content or close your account.
You are responsible for ensuring you have the right to upload and process the content you put into the service. Don’t upload anything that infringes copyright you don’t hold or license, violates someone’s privacy, or breaks any law.
You may upload content you have the right to use. No illegal content, no malware, no infringing material, no content intended to harass others. We may remove content or suspend accounts that violate this. Report violations via the support form in the app, or by writing to support@spectrality.works.
We respect copyright. If you believe content on the service infringes a copyright you hold, send a notice to legal@spectrality.works with the information required by 17 U.S.C. § 512(c)(3). We will respond promptly and may remove the content or terminate the responsible account.
The service is provided “as is” and “as available.” It is alpha software under active development. We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any level of uptime, availability, throughput, or data durability, and we offer no service-level agreement. Keep your own copies of anything important.
READ THIS CAREFULLY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPECTRALITY WORKS LLC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) USD 100.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
Any dispute arising out of these Terms or the service will be brought exclusively in the state or federal courts located in New York County, New York. You and Spectrality each consent to the personal jurisdiction and venue of those courts.
You may close your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms or use the service in a way that creates risk for us or for other users. On termination, we will give you a reasonable window to export your library before deletion.
We may modify the service or these Terms over time. We will give at least 14 days’ notice of material changes to the Terms, in the service or by email, before they take effect. Continuing to use the service after changes take effect means you accept them.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Spectrality regarding the service.
Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
